This major structural change follows a period of intense turbulence at Microsoft’s gaming division, which has seen widespread restructuring and the divestment of several studios. As the developer moves forward as a newly formed entity, the transition highlights both the harsh realities of corporate consolidation and the increasingly common trend of studios seeking autonomy to secure their long-term futures.

Studio head Philip Holt recently shed light on the complex process of separating from Xbox, emphasizing that while the move secures the team’s future, it was achieved only through painful personnel reductions. Speaking to The Game Business, Holt expressed a deep reluctance to quantify the exact number of employees lost during the transition. For him, the human cost of the restructuring is not merely a data point to be analyzed or a statistic to be reported.

"It was a total heartbreak to have to part ways," Holt stated. "I would hate to reduce the impact to those individuals to a number or statistic."

The transition was marked by a commitment to radical transparency, a management philosophy that Holt adopted to mitigate the anxiety inherent in such an uncertain time. By opting to communicate openly with his staff rather than keeping them in the dark, Holt aimed to treat his team with the dignity they deserved, even as the studio faced the prospect of significant downsizing.

"Rather than keeping them in the dark and manufacturing some alternate reality, I just brought them alongside," Holt explained. "That probably reduced some anxiety. I tried to put myself in their shoes. You’re not in control, you don’t really know what’s happening, you know your job might be at risk, and you’re wondering if this game is actually going to finish."

This approach of direct communication meant that staff were prepared for the inevitable. Holt noted that by the time the actual day of layoffs arrived, the employees were not blindsided. While acknowledging that no amount of preparation makes the loss of a job easier, he believes that the transparency allowed the team to understand the economic realities forcing the studio’s hand.

"I tried to share as much as I could. We had pretty direct conversations. We talked early on that under probably any scenario, there’d be job losses. On the day of the layoff, people were prepared. That ended up being a real courtesy, as painful as it was. Nobody wants to lose a job, but I think people understood the reason," he said.

Perhaps most significantly, this culture of transparency has helped the remaining staff find a sense of closure. According to Holt, the employees who stayed with the studio do not view the leadership as having caused unnecessary harm to their former colleagues. Instead, the layoffs are framed as a necessary, albeit tragic, byproduct of the specific circumstances surrounding the studio’s departure from the Microsoft ecosystem.

"As a result, the surviving team doesn’t look at the company, or at me, as someone who’s done great damage to the people they love," Holt observed. "They saw it as a necessary consequence of the reality that we’re in."

To facilitate this independence, Holt established a new corporate entity known as Full Measure. A cornerstone of this new organization is that all remaining employees are now shareholders. This structure is intended to ensure that the people who build the games are the ones who ultimately reap the rewards of their labor.

"This is not a typical founding of a company. I wasn’t employee one. I didn’t raise the startup capital, and I didn’t take on all the commercial risk," Holt explained. "The value that’s present has been created by the team that’s here, and the team that just left. So, it was really important to me that everybody has a stake and an opportunity for upside participation, because so much of the company’s worth is the work that they have contributed to."

The decision to seek independence was not a spontaneous reaction, but a calculated strategic move. Holt revealed that Undead Labs had garnered significant external interest from various parties before finalizing its path to independence. Drawing inspiration from other studios that have successfully pursued management-led buyouts, Holt decided to approach Microsoft with a specific proposal.

"I also thought that because we were so close to being in revenue, the amount of capital that we needed to finish State of Decay 3 was not an insurmountable amount that we couldn’t go raise it ourselves," he noted. "So I submitted an offer for a management-led acquisition, and Microsoft thought that would be a good idea."

This development places Undead Labs among a growing list of studios navigating the fallout of Xbox’s broad corporate restructuring. The company was one of five studios originally slated for divestment during an initial wave of layoffs that impacted approximately 3,200 employees across Microsoft’s gaming operations.

The landscape of the Xbox Game Studios family has shifted dramatically as a result of these strategic changes. Other notable developers have also taken steps toward independence; for instance, Compulsion Games and Double Fine have already confirmed their own transitions away from the Xbox umbrella. Meanwhile, other studios are at various stages of this difficult process. Arkane Lyon, for example, remains in ongoing consultation regarding its future, while Ninja Theory has faced a much more challenging road. After reports of two failed agreements, Ninja Theory has begun implementing staff layoffs, signaling the severe pressures currently affecting the industry at large.

For Undead Labs, the transition to an employee-owned model represents a new chapter—one defined by the desire for stability and a renewed focus on the development of State of Decay 3. By restructuring the ownership of the studio, Holt and his team are betting that their independence will allow them to navigate the volatile games market with more agility, while ensuring that the creators who have poured years into their projects have a direct stake in the company’s success.

As the industry watches, the story of Undead Labs serves as a poignant reminder of the personal costs associated with corporate restructuring. While the studio has managed to secure its independence, the path to reaching this point has been defined by the difficult trade-offs that have become all too common in the modern gaming sector. With the foundation of Full Measure now in place, the studio looks to move past the uncertainty of the recent months, focusing on the future of its flagship franchise and the new, independent path it has forged for its employees.

In a significant shift within the gaming industry, Undead Labs—the developer behind the popular State of Decay series—has officially transitioned into an independent, employee-owned studio.
